Device Registration Addendum

This Device Registration Addendum (Addendum) governs the registration and administration of Devices in Registries by Soldera on the Company's behalf.
The obligations in this Addendum take effect when the Company first submits a Device Registration Instruction. Soldera shall exercise the authorisations granted under this Addendum within the scope of the Company's Device Registration Instructions.

DEFINITIONS
1.1 In this Addendum, the following capitalised terms have the meanings set out below:
Device Registration Instruction means a Platform Instruction submitted under this Addendum requesting the registration of a Device in a Registry, including the transfer of an existing Device registration between Registry Accounts.
1.2 All other capitalised terms used in this Addendum have the meanings given in the General Terms.

DEVICE REGISTRATION SERVICES AND AUTHORISATION
2.1 The Company authorises Soldera, for the duration of the Agreement, to act on the Company's behalf in relation to any applicable Registry for the purposes of executing Device Registration Instructions. This authorisation includes the right to submit applications, forms, notices, confirmations, and supporting documents required by Registry Rules (including documents signed by the Company at Soldera's request) in connection with a Device Registration Instruction.
2.2 Each Device Registration Instruction is a Binding Instruction pursuant to clause 4.1 of the General Terms. Due to the nature of Registry systems, a Device Registration Instruction may be irreversible once processed and may not be withdrawn or amended except as permitted by Registry Rules and if not yet executed.
2.3 Soldera shall execute Device Registration Instructions in a timely manner, subject to applicable Registry Rules, processing times imposed by the relevant Registry, and the operational limitations of the Platform. Soldera is not liable for delays or failures caused by the acts, omissions, or processing times of a Registry.

COMPANY OBLIGATIONS AND FEES
3.1 The Company shall respond to requests from Soldera for information, documentation, or cooperation in connection with the Device registration services within 7 days of receipt, or within such a shorter period as Soldera reasonably specifies where the circumstances reasonably require a faster response.
3.2 The Company is responsible for the accuracy and completeness of each Device Registration Instruction and all supporting data and documentation submitted in connection with it, and shall notify Soldera without undue delay of any circumstance affecting a Device or the Company's Registry Account that could reasonably be expected to impair Soldera's ability to execute a pending or future Device Registration Instruction.
3.3 The Company remains responsible for compliance with Registry Rules applicable to its Devices and Registry Account(s). Soldera's performance of Device registration services does not relieve the Company of any obligation owed to a Registry, registry operator, or third party.
3.4 Each time the Company submits a Device Registration Instruction, the Company represents and warrants that:
- the Company owns or has legitimate operational control over the Device;
- the Device meets the eligibility requirements of the applicable Registry;
- the Company has the right to register the Device with the relevant Registry and is not subject to any prohibition, restriction, or conflicting obligation that would prevent such registration; and
- all information provided in connection with the registration is accurate, complete, and not misleading.
3.5 Soldera shall charge Fees for Device registration services as set out in the Fee Schedule and in accordance with clause 6 of the General Terms.
