Fee Schedule

1. SALES FEE

   1.1 Soldera charges the Company a commission on each sale of Certificates by the Company facilitated through the Platform (Sales Fee). The Sales Fee is calculated as a percentage of the gross sale proceeds and becomes payable upon Soldera's notification of the completed Trade to the Company via the Platform.

   1.2 The applicable Sales Fee rate is determined by the aggregate production capacity (in kW) of all Devices registered on the Platform that are associated with the Company's account at the time of the Trade:

2. SERVICE FEES

   2.1 Soldera charges the Company an aggregation service fee, calculated per MWh, on the volume of Certificates purchased through the Platform.

   2.2 Where the Company receives issuance services under the Issuance Services Addendum, Soldera charges the Company an issuance fee per MWh of Certificates issued through the Platform pursuant to that Addendum.

   2.3 Soldera charges the Company a cancellation fee per MWh cancelled, subject to the minimum fee stated below. Where a cancellation involves a Registry that Soldera reasonably considers to be complex or non-standard, a higher fee may apply; the fee will be quoted to the Company and confirmed before the cancellation is processed. Fees for Supplier-Assisted Cancellations are as agreed between the Parties under the Cancellation Services Addendum and are not subject to the fees stated in this clause.

   2.4 Where the Company fails to provide valid disposition instructions under clause 4.2 of the Hosted Account Services Addendum and Soldera continues to hold the Company's Certificates, Soldera charges a monthly holding fee of EUR 1,000 per month (or part thereof), beginning on the day following expiry of the 30-day disposition period. Registry Fees incurred during the holding period are payable by the Company at cost in addition to the holding fee.

3. GENERAL PROVISIONS

   3.1 Custom fee arrangements. Where Soldera and the Company have agreed in writing to a custom fee arrangement (including a fixed periodic fee covering multiple services), the custom fee arrangement may incorporate the fees in sections 1 and 2 by reference, vary them, or replace them entirely for the scope and period stated.

   3.2 Unlisted service fees. Fees for services not listed in this Fee Schedule will be communicated to the Company and confirmed before the service is provided. By proceeding with the service after the fee is communicated, the Company agrees to pay the applicable fee.

   3.3 Interpretation. This Fee Schedule forms part of the Agreement and is subject to the General Terms, including clause 6 (Fees and Payment) and clause 10 (Amendment). Capitalised terms have the meanings given in the General Terms or the applicable Product Addendum.
