Cancellation Services Addendum

This Cancellation Services Addendum (Addendum) governs the cancellation of Certificates and the generation of Cancellation Statements by Soldera on the Company's behalf. This Addendum applies to cancellations of Certificates whether held in the Company's own Registry Account or credited to the Company in a Hosted Account under the Hosted Account Services Addendum.
The obligations in this Addendum take effect when the Company submits a Cancellation Instruction. Soldera shall exercise the authorisations granted under this Addendum within the scope of the Company's Cancellation Instructions.

DEFINITIONS
1.1 In this Addendum, the following capitalised terms have the meanings set out below:
Cancellation Instruction means a Platform Instruction submitted under this Addendum requesting the cancellation of specified Certificates in a Registry and the generation of a Cancellation Statement.
Cancellation Statement means a statement generated by Soldera recording the cancellation of one or more Certificates, including the information specified in clause 4.2.
Cross-Registry Cancellation means a cancellation where the relevant Certificates are transferred to a Registry in a jurisdiction other than the target jurisdiction and cancelled in that Registry on the Company's behalf.
In-Domain Cancellation means a cancellation where Soldera cancels the relevant Certificates directly in the Registry of the jurisdiction in which the Certificates will be used for disclosure or compliance purposes.
Supplier-Assisted Cancellation means a cancellation in a jurisdiction where Applicable Law requires the involvement of the Company's electricity supplier (or equivalent licensed entity) to perform or initiate the cancellation in the relevant Registry.
1.2 All other capitalised terms used in this Addendum have the meanings given in the General Terms.

CANCELLATION SERVICES AND AUTHORISATION
2.1 The Company authorises Soldera, for the duration of the Agreement, to execute cancellations of Certificates in the applicable Registry and to generate Cancellation Statements, in each case in accordance with the Company's Cancellation Instructions.
2.2 The manner in which a cancellation is executed depends on the jurisdiction in which the Certificates are to be cancelled and the requirements of Applicable Law. Cancellations may be processed as an In-Domain Cancellation, a Cross-Registry Cancellation, or a Supplier-Assisted Cancellation. In-Domain Cancellation is the default path where available.
2.3 Where cancellation is executed as a Cross-Registry Cancellation, Soldera shall inform the Company, to the extent reasonably known to Soldera, of any limitations on the recognition of the cancellation in the jurisdiction for which it is intended before executing the instruction. Soldera does not warrant that a Cross-Registry Cancellation will be accepted or recognised by any authority, Registry, or regulatory body in the target jurisdiction, and shall not be liable for any loss arising from such non-recognition.
2.4 Where cancellation requires execution as a Supplier-Assisted Cancellation, the terms on which Soldera provides that service shall be as agreed between the Parties before the relevant service is provided.
2.5 Each Cancellation Instruction is a Binding Instruction pursuant to clause 4.1 of the General Terms. Due to the nature of Registry systems, a Cancellation Instruction may be irreversible once processed and may not be withdrawn or amended except as permitted by Registry Rules and if not yet executed.
2.6 The Company shall ensure that sufficient Certificates are held in the relevant Registry Account (or, where applicable, credited to the Company in the Hosted Account) to cover any requested cancellation.
2.7 Soldera shall execute Cancellation Instructions in a timely manner, subject to applicable Registry Rules, processing times imposed by the relevant Registry, and the operational limitations of the Platform. Soldera is not liable for delays or failures caused by the acts, omissions, or processing times of a Registry.
2.8 Where the execution of a Cancellation Instruction requires the involvement of a third party whose costs would, in Soldera's reasonable assessment, render the cancellation commercially unviable, Soldera may decline to execute the instruction in the affected market by written notice to the Company. Within 10 business days of receiving such notice, the Company may:
- withdraw the Cancellation Instruction in respect of the affected market;
- request that Soldera propose an alternative cancellation arrangement for the affected market, which Soldera shall consider in good faith but is not obliged to provide; or
- notify Soldera that the Company elects to receive agreed damages not exceeding EUR 1,000 per affected market in the aggregate per calendar year for all such Cancellation Instructions not executed in that market during such year.
If the Company does not notify Soldera of its election within the period specified above, the Cancellation Instruction is deemed withdrawn at no cost to either Party. The remedies set out in this clause 2.8 are the Company's sole and exclusive remedies in respect of Soldera's non-performance of the relevant Cancellation Instruction in the affected market.

COMPANY OBLIGATIONS AND FEES
3.1 The Company shall respond to requests from Soldera for information, documentation, or cooperation in connection with the cancellation services within 7 days of receipt, or within such a shorter period as Soldera reasonably specifies where the circumstances reasonably require a faster response.
3.2 The Company is responsible for the accuracy and completeness of each Cancellation Instruction and any supporting data or documentation submitted in connection with it, and shall notify Soldera without undue delay of any encumbrance, lien, pledge, third-party claim, court order, regulatory restriction, or other circumstance affecting any Certificate or Registry Account that could reasonably be expected to impair Soldera's ability to execute a pending or future Cancellation Instruction.
3.3 Each time the Company submits a Cancellation Instruction, the Company represents and warrants that:
- the Company holds or has the legitimate right to cancel the relevant Certificates;
- the Certificates are free from encumbrances, pledges, or third-party claims that could prevent or impair the cancellation;
- the cancellation does not violate Applicable Law or any binding obligation of the Company; and
- where the cancellation is intended for a specific disclosure, compliance, or reporting purpose, the Company has satisfied itself that the relevant Certificates are eligible for that purpose under Applicable Law.
3.4 Soldera shall charge Fees for cancellation services as set out in the Fee Schedule and in accordance with clause 6 of the General Terms.

CANCELLATION STATEMENTS
4.1 Following the execution of a cancellation in the Registry, Soldera shall make a Cancellation Statement available to the Company.
4.2 Each Cancellation Statement shall include, at a minimum:
- a unique cancellation identifier;
- the beneficiary on whose behalf the cancellation was made;
- the type, technology, production period, and country of origin of the cancelled Certificates;
- the number of Certificates cancelled; and
- the date and, where available from the Registry, the time of the Registry confirmation.
4.3 The Cancellation Statement is the deliverable under this Addendum. It constitutes Soldera's confirmation that the cancellation described has been executed in the relevant Registry based on the information available to Soldera from the Registry and the Platform Records. The Cancellation Statement is intended to serve as evidence of cancellation for compliance, reporting, and disclosure purposes. The Cancellation Statement is presumed accurate in the absence of manifest error. Soldera is not responsible for any third-party requirements as to the form or content of cancellation evidence that go beyond the information specified in clause 4.2.
4.4 Soldera shall ensure that each Cancellation Statement is accurate and complete. If a Cancellation Statement contains a material inaccuracy or omission attributable to Soldera, Soldera shall, upon becoming aware of the issue, promptly issue a corrected Cancellation Statement to the Company via the Platform.
